EVALUATION AGREEMENT
This
Software Evaluation Agreement (this "Agreement") is a legal
and binding agreement between you (an individual, entity or organization)
and SIMPELsystems BV, a Dutch corporation ("SIMPEL"). By downloading the Software described
below, you accept and agree to be bound by all of the terms and conditions
of the Agreement. If you do not agree with the terms and conditions of this
Agreement, do not download the software.
For
purposes of this Agreement, "Software" means all executable
files and any other files that accompany this version of the product,
together with all accompanying materials in written or electronic format.
Evaluation
and Trial Use of the Software.
You may install and use the Software for evaluation and trial purposes only. Any
other use of the Software is strictly prohibited. You are responsible for
installation, management, and other operation of the Software. Your use of
the Software does not entitle you to any other benefits, such as
free-of-charge technical or telephone assistance.
Ownership of
Software.
The Software is owned by
SIMPEL, and components of the Software may be owned by other persons and
licensed to SIMPEL. The Software is protected by Dutch and U.S. copyright laws and
international treaty provisions. Any existing and future proprietary rights
to the Software remain the sole property of SIMPEL.
Your
privacy
The SIMPEL scorecard site stores information from users only with their
knowing, active permission and participation. SIMPEL
will maintain the confidentiality of all user data which is transmitted to
SIMPEL.
Data submitted to this site will only be used for the purpose for which it
is expressly stored. SIMPEL
does not disclose, distribute or rent its user data to any third party, nor
shall it permit anyone else to do so. SIMPEL may use and provide user feedback (including any ideas, concepts, know-how
or other intellectual property) to any of its subsidiaries for any purpose
whatsoever and as deemed appropriate by SIMPEL.
No
warranties
All data on the site is provided to you "as is" without warranty
of any kind either express or implied including, but not limited to, the
implied warranties of merchantability and fitness for a particular purpose,
title, non-infringement, security or accuracy.
Limitation
of liability
SIMPEL disclaims any liability for any direct, indirect, incidental, consequential,
or special damages arising out of or in any way connected with access to or
use of the SIMPEL®scorecard.
